CHANGING COMPANY ADDRESS IN DIFFERENT DISTRICT PROCEDURES

Changing the company's address is a practical demand to help businesses easily expand the scale of operations as well as develop more smoothly. The procedure for changing the company address in different district has many similarities compared to the procedure for changing the company address in the same district, but the process and procedure is more complicated. 1️⃣ Step 1: Carry out tax closing procedures to transfer districts

According to Decree No. 01/2020/ND-CP guiding the Enterprise Law 2020: “Registration for changing the head office address of an enterprise: Before registering changing the head office address, enterprise must carry out procedures with tax authority related to the relocation in accordance with the provisions of tax law.

The enterprise must make a transferring district procedures and submit it to the old district tax authority. Documents include:

✔️ Form of changing the company address notice No. 08-MST issued together with Circular No. 95/2016/TT-BTC dated June 28, 2017 of the Ministry of Finance;

✔️ Power of attorney, in case the company's legal representative is not directly present;

✔️ 2 copies of the company's business license

When the documents are complete, the company submits it directly to the old district tax authority. After the old district tax authority issues a notice on the transfer to the tax management authority, the enterprise will bring the notice to submit to the Department of Planning and Investment. This application can be submitted online, but most businesses still submit it in person for easy processing.

Procedures processing time

Within 10 - 15 working days from the date of submission to the tax department.

2️⃣ Step 2: Processing business registration procedures in different districts at the Business Registration Office

Changing business location in different district procedures includes:

📌 Notice of changing business registration contents to transfer the company's head office (form of Notice according to Appendix II.1 Circular No. 01/2021/TT-BKHDT);

📌 Minutes on change of business registration contents to move the company's head office (for limited liability companies and joint stock companies);

📌 Decision on changing the business registration contents on the relocation of the company's head office;

📌 Power of attorney (if not the legal representative of the company directly submit);

📌 A notarized copy of the certificate of the person carrying out the procedures;

📌 Old business registration certificate.

Procedures processing time

Within 03 working days from the date receipt a valid application for changing business registration, the Business Registration Office issue a Business Registration Certificate and send a notice to the tax management authority to the enterprise.

3️⃣ Step 3: Processing re-engraving the seal procedures and announcing the new seal sample

If the company's legal seal still has information of the old address, the company needs to carry out the procedures to re-engrave the seal and publish the new seal sample on the National Business Registration Portal.

From 1 to 3 working days.

4️⃣ Step 4: Processing procedures to hang the sign at the new headquarters

The company needs to remake the company sign with a new address and hang the sign at the new headquarters.

5️⃣ Step 5: Procedures for notifying the tax authority about issues related to the use of value-added invoices

+ In case the company uses paper invoices and continues to use them, the company will engrave the address, stamp the address on the invoice and notify the change of issued invoice information to the newly transferred tax management authority.

+ In case the company uses e-invoices, the company shall make a notice the change of issued invoice information to the newly transferred tax management authority.

+ In case the company has canceled the invoice at the old tax authority, the company issues a notice of issuing a new invoice for use.

A few notes when doing procedures to change the company's address in different district:

- In the process of making the application to transfer the district, the enterprise is not allowed to issue invoices.

- While submitting the application for transferring district, the old district tax authority will check the tax payment status, the company's report submission status, if there are any missing or incorrect, the old district tax authority will request the enterprise to complete.

- In parallel with submitting the application for transferring tax districts, enterprises will submit reports on the use of invoices in the latest quarters online via the company's digital signature.

- In case the invoice at the old address is still available, and wants to continue using it, the enterprise must make a notice to close the invoice in the old district. Then engrave the new address square stamp on the invoice and make TP04 form to submit to the new district tax authority to continue using that invoice.

- In case the invoices at the old address is still there and the enterprise does not want to continue using it, the enterprise must make a notice of invoice cancellation and submit it to the tax authority.
