What is the line of business?
🔰 Currently, there are no regulations on the concept of business lines
🔰 However, Decision 27/2018/QD-TTG stipulates the system of economic sectors of Vietnam and promulgates together with the Appendix providing the list of business codes.
🔰 At the same time, Clauses 1 and 2, Article 7 of the Law on Enterprises 2020 stipulate that enterprises are entitled to:
✔ Freedom to do business that is not prohibited by law.
✔ Business autonomy and choose the form of business organization; proactively select industries, professions, geographical areas, and business forms; proactively adjust the scale and business lines.
🔰 Thus, enterprises are free to choose one of the business lines according to Decision 27/2018/QD-TTG, when there is a need to expand and develop, enterprises are entirely entitled to change and supplement the business line in accordance with the provisions of the law.
Process of changing business lines:
👉 Step 1: Prepare documents.
👉 Step 2: Prepare documents and give them to business people to sign.
👉 Step 3: On behalf of the entrepreneur, submit the application and receive the result at the Business Registration Office.
👉 Step 4: Announce information about changing business lines on the National Portal.
👉 Step 5: Carry out the work after changing the business line.
Dossier of changing business lines include:
➥ Notice of change of business registration content.
➥ A written decision on the addition or change of business lines of the Members' Council (signed by the Chairman of the Members' Council). The decision must clearly state the changed contents in the company's charter;
➥ A valid copy of the meeting minutes on the addition or change of business lines of the Members' Council (signed by the chairperson and the person recording the minutes). The minutes must clearly state the changed contents in the company's charter;
➥ Original Certificate of Business Registration or Certificate of Business Registration and Certificate of Tax Registration or Certificate of Business Registration and Tax Registration;
➥ Table of contents of records (in the above order);
➥ File cover (of thin paperboard or rugged nylon with no text for other purposes).
